These Terms & Conditions apply to all quotations, orders and agreements for the supply of goods and services by Bristol PRINT Services by IQ-Marketing (“the Supplier”, “we”, “us” or “our”) to the Customer (“you” or “your”).

By placing an order with us, you agree to be bound by these Terms & Conditions.

 

Part A: General Terms

1.1 All quotations are valid for 7 days unless otherwise stated.

1.2 Quotations are subject to the availability of materials and production capacity.

1.3 Prices exclude VAT unless expressly stated otherwise.

1.4 We reserve the right to amend quotations where specifications, quantities or requirements change.

 

2. Orders

2.1 An order becomes binding only when accepted by the Supplier.

2.2 Acceptance may be by email, written confirmation, invoice or commencement of work.

2.3 Customers are responsible for ensuring all specifications are correct before confirming an order.

 

3. Payment

3.1 Unless otherwise agreed in writing, payment is due before production or distribution begins.

3.2 Credit accounts are subject to prior approval.

3.3 Where credit has been granted, payment is due strictly within the agreed credit terms.

3.4 We reserve the right to suspend work where invoices become overdue.

3.5 Interest may be charged on overdue invoices in accordance with the Late Payment of Commercial Debts (Interest) Act 1998.

3.6 Customers shall reimburse any reasonable costs incurred in recovering overdue debts.

 

4. Prices

4.1 Prices may change without notice.

4.2 Confirmed orders will be charged at the agreed quotation unless additional work is requested.

 

5. Customer Artwork

Customers remain responsible for:

– spelling
– grammar
– dimensions
– colours
– image quality
– legal compliance
– copyright ownership

Approval of artwork confirms acceptance of all content.

 

6. Proof Approval

No responsibility can be accepted for errors once artwork has been approved.

Production will not begin until approval has been received.

 

7. Intellectual Property

The Customer warrants that all artwork and content supplied may legally be reproduced.

The Customer agrees to indemnify Bristol PRINT Services against any claim arising from copyright, trademark or intellectual property infringement.

 

8. Limitation of Liability

Our liability shall never exceed the value of the goods or services supplied.

We shall not be liable for:

– loss of profits
– loss of revenue
– business interruption
– consequential loss
– indirect loss

Nothing within these Terms excludes liability where exclusion is prohibited by law.

 

9. Force Majeure

We shall not be liable for delays caused by events beyond our reasonable control including:

– adverse weather
– industrial action
– transport disruption
– supplier delays
– equipment failure
– utility failure
– acts of government
– pandemics

 

10. Cancellation

Orders cancelled after work has commenced may be charged for:

– design work completed
– materials purchased
– production undertaken
– administration costs

Bespoke printed products cannot normally be cancelled once production has commenced.

 

11. Storage

Finished goods will normally be held for up to 30 days.

After this period we reserve the right to dispose of or recycle uncollected items.

Storage charges may apply.

 

12. Governing Law

These Terms are governed by the laws of England and Wales.

Any dispute shall be subject to the exclusive jurisdiction of the English courts.

 

Part B: Printing Services

13. Colour

Printed colours may vary from:

– screen displays
– previous print runs
– samples
– Pantone references where CMYK printing is used

Minor colour variation is not considered a defect.

 

14. Tolerances

Industry standard tolerances apply to:

– trimming
– folding
– perforation
– creasing
– finishing
– registration

Minor movement within normal commercial tolerances shall not constitute grounds for rejection.

 

15. Quantities

We aim to supply the ordered quantity.

A variation of up to 5% shall constitute satisfactory completion unless otherwise agreed.

Customers will only be charged for the quantity supplied.

 

16. Delivery

Delivery dates are estimates only.

We shall not be liable for courier delays or circumstances outside our control.

Risk passes upon delivery.

 

17. Collection

Customers collecting orders should inspect goods before leaving where reasonably possible.

Claims for obvious shortages should be reported immediately.

 

18. Claims

Any printing defect must be reported within seven days of receipt.

No goods may be returned without our prior agreement.

Where a genuine manufacturing defect exists we may:

– reprint;
– repair; or
– refund the affected goods.

 

Part C: Leaflet Distribution Services

19. Distribution Schedule

Distribution dates are estimates.

Campaigns may be rescheduled where necessary due to weather, staffing, operational requirements or circumstances beyond our control.

 

20. Distribution Areas

Campaigns will be carried out within the agreed geographical area.

We may make reasonable route adjustments to account for:

– inaccessible properties
– safety considerations
– new developments
– operational efficiency

 

21. Household Numbers

Household quantities are estimates based upon available data.

Actual deliverable properties may differ due to vacant premises, commercial properties, demolition, restricted access or other factors.

 

22. Letterbox Policy

Leaflets will only be delivered where:

– access is safe
– a suitable letterbox exists
– no clear request has been made not to receive advertising material

Properties displaying notices such as “No Junk Mail”, “No Circulars” or similar may be excluded.

 

23. Customer Materials

Customers are responsible for ensuring supplied leaflets:

– are correctly printed
– are dry
– are suitably packaged
– meet agreed specifications
– are supplied in sufficient quantities

Unsuitable materials may delay distribution.

 

24. GPS Tracking

A GPS report will be supplied following completion.

GPS records demonstrate the routes taken by distributors but do not guarantee that every individual property received a leaflet.

 

25. Shared Plan Distribution

Shared Plan distribution campaigns will be delivered alongside other marketing material.

We reserve the right to determine the combination of accompanying leaflets.

 

26. Premium Plan / Solus Distribution

Where Premium Plan or Solus Distribution has been purchased, only the Customer’s marketing material will be delivered unless otherwise agreed.

 

27. Campaign Completion

A campaign shall be deemed complete once distribution has been undertaken within the agreed area.

Minor variations in household numbers shall not constitute incomplete performance.

 

28. Complaints

Distribution complaints must be submitted in writing within seven days of campaign completion.

Complaints should include:

– full address
– postcode
– details of the concern

We must be given a reasonable opportunity to investigate.

 

29. Liability

Where a proven distribution error has occurred, our liability shall be limited to either:

– repeating distribution to the affected area; or
– refunding the proportion of the distribution charge relating to that area.

We shall not be liable for loss of sales, business opportunity or anticipated response rates.

 

30. Marketing Content

Customers warrant that all distributed material complies with applicable legislation and advertising standards.

We reserve the right to refuse distribution of any material considered unlawful, offensive, misleading or otherwise inappropriate.

 

31. Unused Leaflets

Unless collection has been arranged in advance, any remaining leaflets may be recycled or disposed of 30 days after campaign completion.

 

32. Entire Agreement

These Terms constitute the entire agreement between the Customer and Bristol PRINT Services by IQ-Marketing and supersede any previous agreements relating to the supply of goods and services.
